Welcome to WELLBLOC Inc.., (collectively referred to as "We," "Us," or "Our"). By accessing or using our websites (the "Sites"), mobile applications, and services (the "Services"), you agree to comply with and be bound by these Terms & Conditions (the "Terms"). If you do not agree to these Terms, please do not use our Sites, applications, or Services.

Welcome to WELLBLOC. These Terms & Conditions, together with any booking page, invoice, estimate, membership terms, consent form, intake form, event agreement, appendix or program-specific terms that apply to your booking, govern your use of the websites, booking platforms, applications, memberships, products and services operated by WELLBLOC Inc., including its operating brands and divisions and any successor, affiliate or related operating entity.

In these Terms, "WELLBLOC," "we," "us" and "our" refer to WELLBLOC Inc. and its applicable operating brands. "Client," "you" and "your" refer to the person accessing our websites, booking or receiving services, purchasing a membership, purchasing a gift card or otherwise using our services.

By accessing our websites, booking a session, participating in an onsite event, purchasing a membership, purchasing a gift card or otherwise using our services, you agree to these Terms. If you do not agree with these Terms, please do not use our services.

These Terms apply across our brand family and websites, wellbloc.ca. Certain services, such as MVA rehabilitation services, corporate wellness events, hotel or residential partner services and memberships, may also be subject to additional terms described at the time of booking.

These Terms are intended to provide clear operational expectations. They do not replace any clinical intake, informed consent process, treatment plan, privacy notice or professional obligations that apply to regulated health professionals.

1. Definitions

For the purposes of these Terms:

"Client" means the person booking, purchasing, receiving or participating in the services.

"Guest" means any person on whose behalf a Client books or arranges services.

"Therapist" or "Provider" means a registered, licensed or otherwise qualified wellness or health professional engaged by WELLBLOC, which may include registered massage therapists, physiotherapists, chiropractors, naturopaths, acupuncturists, occupational therapists or other providers, depending on the service.

"Services" means the services offered by WELLBLOC or its operating brands, including in-home massage therapy, physiotherapy, chiropractic care, naturopathic care, acupuncture, corporate wellness services, onsite massage events, hotel or residential wellness services, MVA rehabilitation services, memberships, gift cards, wellness products, virtual services and related administrative services.

"Premises" means the home, office, workplace, hotel, condominium, event space or other location where services are delivered.

"Corporate Client" means a company, organization, event agency, hotel, condominium, property manager or other business or institution arranging services for employees, guests, residents, attendees or other participants.

"Participant" means an employee, guest, attendee, resident or individual receiving services through a Corporate Client, event, hotel, condominium or partner booking.

2. Eligibility and Consent

You must have the legal capacity to agree to these Terms and book services.

Clients under the age of 18 must have consent from a parent or legal guardian. For Clients aged 16–17, a parent or legal guardian must complete any required consent forms and be reachable during the appointment. For Clients under 16, a parent or legal guardian must complete any required consent forms and be present at the Premises during the entire appointment. Therapists or Providers may decline service to a minor where parental consent or presence requirements have not been met.

By booking services for yourself or another person, you confirm that:

  • the information provided is accurate and complete;

  • you have authority to make the booking;

  • you will ensure the person receiving services is aware of these Terms and any applicable intake or consent requirements;

  • you will disclose relevant health, safety, access and location information; and

  • you will not use the services for any unlawful, unsafe or inappropriate purpose.

Therapists and Providers may require intake forms, health history forms, consent forms or screening questions before treatment. A Therapist or Provider may modify, pause, decline or stop a service if they determine it is clinically inappropriate, unsafe or outside their professional scope.

3. Accounts, Booking Information and Security

To book or receive services, you may be required to provide accurate and complete information, including your name, email address, phone number, billing address, service address, payment method, health information, insurance information, date of birth, claim information or other information required to coordinate the service.

You are responsible for keeping your account information accurate and up to date. You are also responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us promptly if you believe your account, booking information, payment information or personal information has been accessed without authorization. You can contact us at support@wellbloc.ca.

We may suspend, restrict or terminate access to an account or booking if information provided is inaccurate, incomplete, outdated, fraudulent, unsafe or inconsistent with these Terms.

4. Acceptable Use and Client Conduct

You agree not to:

(a) violate any law, regulation, professional standard or third-party agreement;

(b) engage in conduct toward Therapists, Providers, staff, clients or participants that is abusive, harassing, threatening, discriminatory, indecent, profane, sexualized, hateful or otherwise inappropriate;

(c) request any service that is sexual in nature or outside the professional scope of the Therapist or Provider;

(d) impersonate any person or entity, misrepresent your identity or provide false booking, payment, insurance or health information;

(e) scrape, harvest, copy or collect information about Therapists, Providers, clients, participants or users, including names, contact information, profiles, schedules or session history;

(f) interfere with or attempt to circumvent any security, payment, scheduling or technical measure used by WELLBLOC;

(g) photograph, video-record or audio-record any part of a session or any Therapist or Provider without express prior written consent; or

(h) attempt to arrange, accept or pay for services outside the WELLBLOC platform after a Therapist or Provider has been introduced through WELLBLOC.

We may refuse service, end a session, remove a participant, suspend an account, restrict future bookings or take other appropriate action if we believe these standards have been breached.

5. Booking and Payment Channel

All services introduced, arranged or coordinated through WELLBLOC must be booked, paid for and managed through the applicable WELLBLOC platform, booking page, invoice, payment link or approved payment process.

For a period of 12 months following your last booking, session, event or engagement with a Therapist or Provider introduced to you through WELLBLOC, you agree not to knowingly arrange, request, accept or pay for substantially similar services with that Therapist or Provider outside of WELLBLOC without our written consent.

This restriction applies to direct payment, e-transfer, cash, third-party apps, private booking links or other arrangements that bypass WELLBLOC's booking, safety, payment, insurance, recordkeeping, quality assurance or client support processes.

This section does not prevent you from seeking healthcare services from a provider you had a pre-existing independent relationship with before being introduced through WELLBLOC.

6. Services and Professional Standards

WELLBLOC coordinates access to wellness and health-related services delivered by qualified Therapists and Providers. Certain services are delivered by regulated health professionals who are responsible for complying with the standards, rules and ethical obligations of their applicable regulatory college or professional body.

Clinical decisions, including assessment, treatment recommendations, treatment modifications, consent requirements, documentation and scope of practice decisions, are made by the applicable Therapist or Provider.

WELLBLOC may verify Therapist or Provider licensure, insurance and credentials at onboarding and on a periodic basis. While we take reasonable steps to support provider quality and safety, verification information may change over time. Verification by WELLBLOC is not a guarantee of any particular outcome and does not replace the professional obligations of the applicable Therapist or Provider.

WELLBLOC does not guarantee a particular clinical outcome, recovery outcome, pain reduction, functional improvement, insurance approval or treatment result. Services are intended to support wellness, recovery and care coordination, but results vary by individual.

You are responsible for seeking emergency medical care when required. WELLBLOC services are not a substitute for emergency care, urgent medical assessment or treatment from a physician or hospital where medically necessary.

7. Prices, Payment and Taxes

Prices for services, memberships, events, products and gift cards are listed on our websites, booking pages, estimates, invoices or other written materials and may change from time to time.

Unless stated otherwise, all prices are in Canadian dollars and exclusive of applicable taxes, including HST.

Payment may be required at the time of booking, upon invoice, upon completion of services or according to the payment terms stated in the applicable estimate, invoice, event agreement, membership page or booking page.

By providing a payment method, you authorize WELLBLOC or its payment processors to charge your payment method for services, memberships, products, gift cards, cancellation fees, no-show fees, taxes and other amounts properly owing under these Terms or the applicable booking terms.

If payment is declined, disputed, reversed or not received, we may suspend bookings, withhold future services, cancel appointments, revoke promotional benefits or pursue collection of amounts owing.

8. Memberships and Treatment Credits

WELLBLOC may offer membership plans, including but not limited to MEMBER, MEMBER+, CALM, CALM 90, OPTIMIZE, NEST and other plans introduced from time to time.

Membership benefits, pricing, included services, first payment amounts, monthly billing, treatment credits, rollover rules, sharing rules, cancellation requirements and pause options are described on the applicable membership page or checkout page.

Unless the applicable membership page states otherwise:

* memberships renew automatically at the end of each billing cycle until cancelled;

* membership fees are billed to the payment method on file;

* cancellation takes effect at the end of the current paid billing cycle;

* we do not provide pro-rated refunds for partial billing cycles;

* unused treatment credits remain available according to the terms stated on the applicable membership page;

* some plans may allow credits to roll over, remain available after the month of purchase or be shared within a household if expressly stated on the membership page;

* membership credits are not redeemable for cash;

* membership credits may not be transferred, resold or assigned except where expressly permitted; and

* missed appointments, late cancellations or no-shows may result in loss of the applicable credit or a cancellation fee.

Where a membership plan expressly states at the time of purchase that included credits do not expire, those credits will not expire while your membership remains active and in good standing. If your membership is cancelled, lapses for non-payment, or is terminated for breach of these Terms, any unused credits will expire as set out in the applicable plan page or as disclosed at the time of purchase.

We may update membership pricing, benefits or plan structures by providing at least 30 days' notice where required or where the change materially affects your plan. If you do not accept the updated terms, you may cancel before the updated terms take effect.

9. Gift Cards and Promotional Offers

Gift cards are sold through our authorized payment partners and may be redeemed for eligible services or products offered by WELLBLOC or the applicable brand stated on the gift card.

Gift cards are non-refundable, are not redeemable for cash and may not be replaced if lost, stolen, damaged or used without authorization, except where required by law.

Where required by applicable consumer protection law, gift cards do not expire and are not subject to dormancy fees or activation fees.

Promotional codes, credits, discounts and limited-time offers are subject to the terms stated at issuance. Promotional offers may be limited by date, location, service type, provider availability, booking channel, minimum spend, first-time client status or other stated conditions.

Promotional codes may not be combined with other offers unless expressly stated. We may modify, suspend or revoke promotional offers if we believe they are being misused or applied in error.

10. Cancellation, Rescheduling and Refunds

Unless a booking page, invoice, event agreement or program-specific term states otherwise, the following cancellation policy applies to standard in-home and individual appointments:

Refunds, where applicable, are processed to the original payment method. Processing times may vary depending on the payment provider or financial institution.

Late arrivals, inaccessible premises, missing access information, unsafe conditions or failure to attend may be treated as a late cancellation or no-show.

We may cancel, reschedule or modify a booking due to Therapist or Provider availability, illness, weather, travel disruption, safety concerns, payment issues, inaccurate information, building access issues or circumstances beyond our reasonable control. Where possible, we will make reasonable efforts to offer an alternative appointment, provider or refund where appropriate.

11. In-Home and Onsite Safety Responsibilities

When booking in-home, workplace, hotel, residential, event-based or onsite services, you are responsible for ensuring that the Premises are safe, clean, accessible and suitable for the service.

You agree to:

* provide accurate address, unit, buzzer, parking, loading, elevator and access information;

* provide a private or semi-private treatment area appropriate for the service;

* ensure adequate lighting, heating, ventilation and space for equipment;

* secure pets and remove hazards;

* ensure no unauthorized persons interfere with the session;

* ensure the Therapist or Provider can safely enter and exit the Premises;

* disclose relevant health, mobility, building, access or safety considerations; and

* treat Therapists, Providers and WELLBLOC staff with respect.

Therapists, Providers and WELLBLOC staff may refuse to enter the Premises, pause a session or leave immediately if they believe the environment is unsafe, inappropriate, unhygienic, threatening, sexualized, discriminatory or otherwise unsuitable.

You acknowledge that you are responsible for the condition of the Premises and assume risk for injury, loss or damage arising from the Premises, except to the extent directly caused by the negligence or misconduct of WELLBLOC or the applicable Therapist or Provider.

12. Booking on Behalf of Another Person

If you book services for a Guest, family member, employee, resident, attendee or other person, you are responsible for ensuring that the recipient:

  • is aware of the booking;

  • consents to receive the service;

  • receives these Terms and any applicable intake or consent forms;

  • provides accurate health and safety information; and

  • complies with all applicable conduct and safety requirements.

You remain responsible for payment, cancellation fees, no-show fees and any information you provide on behalf of that person.

13. Corporate Wellness, Workplace and Event Bookings

Corporate wellness, workplace, hotel, residential and event bookings may be subject to a separate estimate, invoice, agreement, appendix or statement of work. If there is a conflict between these Terms and a signed event agreement or appendix, the more specific event document will apply for that booking.

Unless otherwise agreed in writing, the Corporate Client is responsible for:

  • confirming the event date, time, location, number of Therapists or Providers and service hours;

  • providing a suitable private or semi-private space for services;

  • providing reasonable access for setup and teardown;

  • ensuring the onsite environment is safe, clean and appropriate;

  • managing internal employee, guest, resident or attendee communication;

  • ensuring participants understand any booking, payment, cancellation, consent or intake requirements;

  • providing building access, parking, loading instructions, security details and onsite contacts;

  • complying with workplace health and safety obligations; and

  • obtaining any internal approvals required to host the event.

WELLBLOC will make reasonable efforts to provide the Therapists, Providers, equipment and service structure confirmed in writing. Therapist or Provider assignments may change due to availability, illness, professional requirements or operational needs.

Corporate events may be structured as employer-paid, employee-paid, shared-contribution or sponsored events. The payment model will be confirmed in the applicable booking page, estimate, invoice, agreement or appendix.

For employee-paid or participant-paid events, each participant is generally responsible for booking and paying for their own appointment unless otherwise agreed in writing. The Corporate Client is not responsible for participant fees unless the Corporate Client has agreed to pay, subsidize, guarantee or cover those fees.

Deposits, minimum service hours, cancellation windows, rescheduling fees, travel fees, overtime, parking, equipment requirements and staffing requirements may be set out in the applicable estimate, invoice, agreement or appendix.

If a corporate or event booking is cancelled or materially changed less than 72 hours before the scheduled start time, WELLBLOC may charge a cancellation or rescheduling fee to cover reserved Therapist or Provider time, administrative work and other costs. Specific cancellation terms may be set out in the applicable estimate, invoice, agreement or appendix and will govern that booking.

14. MVA Rehabilitation Services

MVA Care may provide or coordinate services related to motor vehicle accident rehabilitation, including physiotherapy, registered massage therapy, chiropractic care, occupational therapy, care coordination, treatment planning and related documentation.

MVA services may involve insurers, adjusters, lawyers, paralegals, occupational therapists, case managers, healthcare providers, HCAI processes, treatment plans, invoices, progress updates and other claim-related documentation.

By participating in MVA services, you agree to provide accurate and complete claim, accident, insurer, adjuster, legal representative, health, treatment and contact information. You also agree to complete any required consents, authorizations, intake forms and claim-related documentation.

Submission of a treatment plan, invoice, form or claim-related document does not guarantee insurer approval, payment, reimbursement or continued funding. Insurer decisions, coverage limits, MIG status, non-MIG status, catastrophic impairment status, benefit limits, policy terms and legal matters are outside WELLBLOC's control.

Clinical services are provided by the applicable regulated health professionals. Care coordination and administrative support do not replace legal advice, insurer advice, emergency medical care or clinical decision-making by the treating provider.

You remain responsible for amounts not covered by an insurer, extended health benefits plan, legal arrangement or other third-party payer, unless otherwise agreed in writing.

15. Direct Billing, Insurance and Third-Party Payment

Where available, WELLBLOC or the applicable Therapist or Provider may assist with direct billing or claims submission to extended health benefits providers, auto insurers or other third-party payers.

Direct billing is not guaranteed. Coverage, eligibility, deductibles, plan limits, insurer approvals, coordination of benefits and reimbursement decisions are determined by the applicable insurer or third-party payer.

You are responsible for providing accurate insurance, claim and benefit information. You authorize WELLBLOC, the applicable provider and any billing partner to use the information you provide for booking, billing, claim submission, payment processing, reconciliation and related administrative purposes.

If a claim is declined, reversed, partially paid or not paid, you remain responsible for any unpaid balance unless otherwise agreed in writing.

16. Health Information, Privacy and Communications

Your use of our services may involve the collection, use and disclosure of personal information and, in some cases, personal health information. This may include contact information, booking information, health history, consent forms, treatment notes, insurer information, claim information, payment information and communication history.

We collect, use and disclose personal information only as reasonably necessary to provide services, coordinate bookings, process payments, support clinical care, manage memberships, communicate with you, administer claims, comply with legal obligations, improve our services and operate our business.

Certain health information may be collected or maintained by regulated health professionals in accordance with their professional obligations and applicable privacy laws.

By using our services, you consent to receiving service-related communications by email, phone, SMS, booking platform, payment platform or other reasonable communication methods. These may include booking confirmations, reminders, intake forms, receipts, invoices, support messages, provider updates and administrative notices.

Marketing communications will be managed in accordance with applicable law. You may unsubscribe from marketing communications where required. Transactional, booking, billing, safety and service-related messages may still be sent where necessary to provide services.

A separate Privacy Policy should be read together with these Terms.

17. Recording, Photography and Media

You may not photograph, video-record or audio-record any Therapist, Provider, staff member, session, treatment or onsite service without express prior written consent from WELLBLOC and the individual being recorded.

WELLBLOC will not use a Client's, Participant's or Corporate Client's name, image, logo, testimonial, likeness or identifying information for marketing without appropriate consent.

Corporate Clients may not use WELLBLOC's name, logos, images, Therapist or Provider likenesses, service photos or trademarks for promotional purposes without prior written approval.

18. Products and Online Purchases

WELLBLOC or its operating brands may sell or promote wellness products, recovery products, gift cards or partner products.

Product availability, pricing, descriptions, shipping, returns, warranties and fulfillment terms may be set out on the applicable product page or checkout page.

Some products may be fulfilled by third-party vendors, affiliate partners, manufacturers or payment providers. WELLBLOC is not responsible for third-party product claims, manufacturer warranties, shipping delays, product misuse or issues outside our reasonable control.

Product information is provided for general wellness and informational purposes and is not medical advice. You should consult a qualified healthcare professional before using products if you have a medical condition, injury, pregnancy-related concern or other health consideration.

19. Availability and Service Changes

Services are subject to provider availability, location, booking demand, weather, traffic, building access, platform availability and operational capacity.

We may modify, suspend or discontinue any service, membership, booking option, product, promotion, platform feature or service area at any time, subject to applicable law and any specific commitments already made in writing.

We are not responsible for delays or inability to provide services caused by events beyond our reasonable control, including severe weather, illness, emergencies, building access restrictions, labour disruptions, internet or platform outages, payment processor issues, public health measures, transportation disruption or acts of government.

20. Intellectual Property

All content on WELLBLOC websites, booking pages, applications, documents, marketing materials, graphics, logos, service names, brand names, designs, copy, photos, videos and related materials is owned by or licensed to WELLBLOC, unless otherwise stated.

You may not copy, reproduce, modify, distribute, publish, sell, exploit or use our content, trademarks, brand names or materials without prior written permission.

21. Third-Party Platforms and Links

Our services may use or link to third-party platforms, including booking systems, payment processors, form providers, customer support tools, messaging tools, calendar tools, CRM tools, insurer portals, video meeting platforms and affiliate or product partners.

Your use of third-party platforms may be subject to their own terms, privacy policies and fees. WELLBLOC is not responsible for third-party platform outages, errors, delays, payment processing issues, security incidents or content, except to the extent required by law.

22. Disclaimers

To the maximum extent permitted by law, our websites, platforms, content and administrative services are provided on an "as is" and "as available" basis.

We do not guarantee that our websites, booking platforms, communications, payment systems or services will be uninterrupted, error-free, available at all times or free from technical issues.

We do not guarantee any specific wellness, clinical, recovery, financial, insurance, business or workplace outcome from using our services.

Nothing in these Terms limits the professional obligations of regulated health professionals or any rights you may have under applicable law.

23. Limitation of Liability

To the maximum extent permitted by law, WELLBLOC and its directors, officers, employees, contractors, agents, affiliates and service providers will not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profits, loss of business, loss of data, loss of goodwill, lost opportunity or business interruption.

To the maximum extent permitted by law, WELLBLOC's total aggregate liability for any claim arising from or relating to the services will be limited to the greater of (a) the total amounts paid by you to WELLBLOC in the 12 months preceding the event giving rise to the claim, or (b) CAD $500.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is not permitted by law, including liability for gross negligence, wilful misconduct, fraud or rights that cannot be waived under applicable consumer protection, privacy, health or professional laws.

24. Indemnity

You agree to indemnify and hold harmless WELLBLOC, its directors, officers, employees, contractors, agents, affiliates, Therapists, Providers and service providers from any claims, losses, damages, liabilities, costs or expenses arising from:

  • your breach of these Terms;

  • inaccurate, incomplete or misleading information you provide;

  • unsafe, unsuitable or inaccessible Premises;

  • your conduct or the conduct of any Guest, Participant, employee, resident, attendee or other person you are responsible for;

  • misuse of the services, platforms or products;

  • unauthorized recording, photography or use of WELLBLOC materials; or

  • attempts to bypass WELLBLOC's booking, payment or provider coordination process.

This indemnity applies except to the extent the claim arises directly from WELLBLOC's negligence, wilful misconduct or breach of applicable law.

25. Suspension, Refusal of Service and Termination

We may refuse service, suspend access, cancel bookings, terminate accounts or restrict future use of our services if we reasonably believe that:

  • you have breached these Terms;

  • payment has not been made or has been reversed;

  • information provided is inaccurate, fraudulent or incomplete;

  • the Premises are unsafe or inappropriate;

  • a Therapist, Provider, staff member or participant is at risk;

  • services are being misused;

  • you have attempted to bypass WELLBLOC's booking or payment process; or

  • continued service would create legal, safety, operational, reputational or professional risk.

Where appropriate, we may provide notice and an opportunity to resolve the issue, but we are not required to do so where safety, fraud, professional obligations or operational integrity are involved.

Sections that by their nature should survive termination — including Sections 4, 5, 16, 20, 23, 24 and 27 — will survive termination or expiry of these Terms.

26. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised "Last updated" date.

Your continued use of our services after updated Terms are posted means you accept the updated Terms. If a material change affects an existing paid membership, event or booking, we will provide notice where required by law or where reasonably appropriate.

27. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, unless applicable consumer protection, privacy, health or professional laws require otherwise.

The parties shall first attempt to resolve any dispute through good-faith negotiation, and if unresolved within 30 days, through mediation in Toronto, Ontario, before commencing court proceedings.

Any dispute arising from these Terms or the services will be handled in the courts or applicable tribunals of Ontario, unless otherwise required by law.

To the extent permitted by law, you and WELLBLOC agree that any dispute will be resolved on an individual basis only and not as part of a class, consolidated or representative proceeding.
